For purposes of these Terms, “A Health Place,” “we,” “us,” and “our” refer to A Health Place and the applicable entity that owns or operates the website and publication.
A Health Place is a publication and informational website. A Health Place does not provide professional, clinical, advisory, consulting, treatment, healthcare, fitness, nutritional, financial, or other professional services. The principal publication made available through the website is the A Health Place magazine, including its digital edition or digital flipbook, which may be made available for reading without charge or on such other terms as may be expressly stated at the time of access or purchase.
By accessing, browsing, reading, downloading, or otherwise using the website or Content, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, the A Health Place Privacy Policy, the A Health Information Disclaimer, and any other policies or notices expressly incorporated into these Terms.
If you do not agree to these Terms, you must not access or use the website or Content.
1. Acceptance of Terms
By accessing, browsing, reading, downloading, or otherwise using the website or Content, you represent and warrant that:
you have the legal capacity to enter into a binding agreement under applicable law;
you have read and understood these Terms;
you agree to comply with these Terms and all applicable laws and regulations; and
any information you voluntarily provide to A Health Place is accurate and not misleading.
If you access or use the website on behalf of an organization, business, or other legal entity, you represent and warrant that you have actual authority to bind that entity to these Terms. In that circumstance, “you” includes both you individually and the applicable entity.
A Health Place may revise these Terms from time to time as provided in Section 27. Your continued use of the website or Content following the effective date of revised Terms constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
2. Nature of A Health Place

A Health Place may make available a digital magazine, including a digital flipbook, together with articles, publications, recipes, quizzes, calculators, assessments, interviews, reviews, videos, graphics, educational materials, editorial features, user-submitted Content, product information, and references to third-party resources.
A Health Place does not provide professional services of any kind. Nothing on the website should be interpreted as an offer to provide healthcare, medical care, diagnosis, treatment, therapy, counseling, financial advice, legal advice, consulting, fitness training, nutritional counseling, or any other professional service.
The Content is provided solely for general informational and educational purposes and is not intended to provide individualized professional guidance, diagnosis, treatment, or care.
Nothing contained in or made available through the website creates or establishes a professional-client, provider-patient, fiduciary, advisory, consulting, or other comparable professional relationship between you and A Health Place.
Your use of health-related Content is also subject to the A Health Place Health Information Disclaimer, which is incorporated into these Terms by reference.
3. Health and Wellness Information
Health, wellness, nutrition, fitness, lifestyle, dietary, exercise, supplement, pharmaceutical, behavioral, and other health-related information contained in the Content is provided solely for general informational and educational purposes.
The Content is not prepared with reference to your individual circumstances and should not be relied upon as individualized guidance concerning your health, condition, treatment, medication, diet, exercise, or other personal circumstances.
A Health Place does not evaluate, diagnose, treat, monitor, or provide professional care to individuals.
You should consult an appropriately qualified and licensed professional regarding questions or decisions concerning your individual circumstances.
You should not delay seeking appropriate professional care, disregard guidance from a qualified professional, discontinue prescribed treatment, alter a prescribed regimen, or otherwise make a significant decision concerning your health solely on the basis of information obtained through the website or magazine.
The A Health Place Health Information Disclaimer contains additional provisions governing health-related Content and is incorporated into these Terms by reference.
4. Eligibility
You may use the website and access the Content only if you have the legal capacity to enter into a binding agreement under applicable law.
Certain portions of the website or Content may be subject to age restrictions where required by applicable law or where expressly stated.
If you are accessing the website or Content on behalf of a minor, you are responsible for ensuring that such access complies with applicable law and any applicable requirements imposed by A Health Place.
5. User Accounts
Unless expressly stated otherwise, access to the publicly available A Health Place magazine and editorial Content does not require the creation of a user account.
If A Health Place makes an account-based feature available in the future, additional terms concerning account creation, credentials, eligibility, and account use may apply.
Where an account is made available, you agree to provide information that is accurate, current, complete, and not misleading and to promptly update such information when reasonably necessary.
You are responsible for:
maintaining the confidentiality of your account credentials;
preventing unauthorized access to your account;
maintaining the accuracy of information associated with your account;
activities conducted through your account, except to the extent resulting from circumstances for which you are not reasonably responsible; and
promptly notifying A Health Place if you know or reasonably suspect that your account or credentials have been compromised.
You may not use another person's account without authorization.
A Health Place may suspend, restrict, or terminate an account where reasonably necessary to protect the website, Content, users, A Health Place, or third parties, or where an account is used in violation of these Terms or applicable law.
6. User-Submitted Information
You may voluntarily submit information through forms, quizzes, assessments, surveys, comments, reviews, feedback mechanisms, or other portions of the website.

7. Quizzes, Assessments, Calculators, and Interactive Features
A Health Place may provide quizzes, calculators, questionnaires, assessments, scoring tools, and other interactive features as part of its editorial and educational Content.
These features are provided solely for general informational and educational purposes.
Outputs generated by such features may be based upon information you provide, predefined assumptions, algorithms, formulas, data sources, or other methodologies and may contain errors or limitations.
Results, scores, calculations, recommendations, or other outputs do not constitute individualized professional evaluation or advice.
You acknowledge that interactive features may not account for all relevant circumstances and that you should not rely solely upon their results when making significant decisions concerning your health, nutrition, fitness, treatment, finances, or other material matters.
A Health Place does not warrant that any result, calculation, score, recommendation, or output will be accurate, complete, current, error-free, or suitable for your particular circumstances.
8. Nutrition, Recipes, Fitness, and Wellness Content
Recipes, nutritional information, fitness Content, exercise information, dietary information, weight-management Content, supplement information, lifestyle materials, and related Content are provided for general educational and informational purposes.

By submitting User Content to A Health Place, you grant A Health Place a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, transmit, create derivative works from, and otherwise use the User Content as reasonably necessary to operate the website, publish the magazine and other editorial Content, promote A Health Place, improve the website, or otherwise use the User Content for legitimate editorial and business purposes.
You represent and warrant that:
you own or control the necessary rights to the User Content;
you have obtained all permissions necessary for A Health Place to exercise the rights granted under these Terms;
the User Content does not infringe, misappropriate, or violate another person's rights;
the User Content is not unlawful, fraudulent, defamatory, threatening, or otherwise prohibited by applicable law;
the User Content does not contain malicious code or other harmful material; and
the User Content does not violate these Terms.
A Health Place is not obligated to monitor, review, publish, retain, or display User Content and may remove, restrict, refuse, or disable access to User Content at any time and for any reason or no reason, subject to applicable law.
13. Prohibited Activities

interfere with, disrupt, damage, disable, overburden, or impair the website;
scrape, crawl, harvest, extract, copy, or systematically collect Content or data without authorization;
use bots, scripts, crawlers, automated systems, or other technologies in a manner that imposes an unreasonable burden on the website;
impersonate another person or entity;
misrepresent your identity, affiliation, or authority;
submit fraudulent, deceptive, or materially misleading information;
harass, threaten, abuse, defame, or otherwise unlawfully target another person;
upload or transmit unlawful, infringing, harmful, or malicious Content;
circumvent geographic, technical, access, or other restrictions;
use the Content for unauthorized commercial purposes;
reverse engineer, decompile, disassemble, or attempt to derive source code from software forming part of the website, except to the extent expressly permitted by applicable law;
use the Content to develop, train, test, or improve a competing publication, database, model, website, product, or other commercial offering where such activity is prohibited by applicable law or expressly restricted by A Health Place;
interfere with the proper functioning of third-party platforms connected to the website; or
assist, encourage, facilitate, or permit another person to engage in any prohibited activity.
A Health Place may take any action reasonably necessary to prevent, investigate, or address violations of this Section.
14. Website and Content Availability
A Health Place will use reasonable efforts to maintain the availability of its website and publicly accessible Content but does not warrant that the website or Content will be uninterrupted, continuously available, timely, secure, or error-free.
The website or Content may be unavailable, restricted, suspended, delayed, or interrupted because of:
maintenance;
upgrades or updates;
security measures;
technical failures;
hosting or infrastructure issues;
telecommunications or network interruptions;
third-party platform failures;
cybersecurity incidents;
governmental actions;
natural disasters;
labor disputes; or
other circumstances beyond A Health Place's reasonable control.
A Health Place may modify, suspend, restrict, discontinue, or remove any portion of the website or Content at any time, with or without notice, subject to applicable law.
15. Content Accuracy and Availability
A Health Place endeavors to provide useful and reasonably accurate Content.
However, A Health Place does not represent or warrant that Content is:
complete;
accurate;
current;
reliable;
error-free;
suitable for a particular purpose;
continuously available;
free from omissions; or
appropriate for every individual or circumstance.
Information concerning health, science, nutrition, fitness, products, technology, and other subjects may change over time.
Content may therefore become outdated, incomplete, or inaccurate.
A Health Place reserves the right, but does not assume an obligation, to correct, update, supplement, modify, remove, or discontinue Content at any time.
16. Third-Party Content and Links
The website or magazine may contain links to or references to third-party websites, applications, publications, products, professional providers, organizations, social-media platforms, advertisements, or other external resources.
Third-party links and references are provided for convenience and general informational purposes.
A Health Place does not control third-party resources and does not represent or warrant their accuracy, completeness, availability, security, privacy practices, products, qualifications, or compliance with applicable law.
The inclusion of a third-party resource does not constitute an endorsement, referral, recommendation, sponsorship, or guarantee by A Health Place.
A Health Place does not itself provide any professional service through a third-party resource merely because that resource is mentioned, linked, reviewed, or referenced in the Content.
Your interactions with third-party resources are governed by the applicable third party's terms, policies, and practices.
17. Advertising, Sponsorships, and Affiliate Relationships
A Health Place may display advertising and may participate in sponsorship, affiliate, referral, promotional, or other commercial arrangements relating to the publication or website.
Where required by applicable law, applicable commercial relationships will be appropriately disclosed.
The presence of an advertisement, sponsorship, affiliate link, promotional placement, or other commercial arrangement does not constitute a representation or guarantee concerning the safety, quality, effectiveness, suitability, or performance of the associated product or third-party offering.
You are responsible for independently evaluating any third-party product or offering before purchasing, accessing, or using it.
18. Third-Party Product Information
A Health Place may discuss, review, compare, recommend, rank, or otherwise reference third-party products, brands, publications, technologies, supplements, foods, or other commercial offerings.
Such information is provided for general informational and editorial purposes.
Prices, availability, specifications, ingredients, features, claims, benefits, risks, and other third-party information may change without notice.
A Health Place does not warrant the availability, quality, safety, effectiveness, accuracy, legality, or suitability of any third-party product or offering.
Any decision to purchase or use a third-party product or offering is made solely at your own discretion and risk.
A Health Place does not sell, manufacture, prescribe, dispense, administer, or provide professional services concerning third-party products merely because such products are discussed or referenced in the Content.
19. No Guarantee of Results
Your use of the website and Content is voluntary and at your own discretion and risk.
A Health Place does not guarantee any particular result or outcome from accessing, reading, following, or relying upon information contained in the magazine, website, or other Content.
This includes, without limitation, health, wellness, fitness, nutritional, lifestyle, performance, commercial, or other outcomes.
Individual outcomes vary, and examples, testimonials, experiences, or reported results are not guarantees or representations concerning results that another individual may achieve.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ALL CONTENT, INFORMATION, MATERIALS, SOFTWARE, FEATURES, TOOLS, AND FUNCTIONALITY MADE AVAILABLE THROUGH THE WEBSITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
A HEALTH PLACE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND SUITABILITY.
A HEALTH PLACE DOES NOT WARRANT THAT THE WEBSITE OR CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, SECURE, UNINTERRUPTED, ERROR-FREE, FREE FROM HARMFUL COMPONENTS, OR SUITABLE FOR YOUR PARTICULAR PURPOSE OR CIRCUMSTANCES.
NO INFORMATION OR COMMUNICATION OBTAINED THROUGH THE WEBSITE OR CONTENT SHALL CREATE ANY WARRANTY OR REPRESENTATION NOT EXPRESSLY OUTLINED IN THESE TERMS.
NOTHING IN THESE TERMS SHALL EXCLUDE, RESTRICT, OR LIMIT LIABILITY, OR ANY RIGHT OR REMEDY, THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR LIMITED UNDER APPLICABLE LAW.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, A HEALTH PLACE AND ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRIBUTORS, AUTHORS, EDITORS, REVIEWERS, ADVISORS, CONTRACTORS, AND REPRESENTATIVES (COLLECTIVELY, THE “A HEALTH PLACE PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER NON-DIRECT DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OPPORTUNITY, OR OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE UPON THE WEBSITE OR CONTENT.
WITHOUT LIMITING THE FOREGOING, THE A HEALTH PLACE PARTIES SHALL NOT BE LIABLE FOR LOSSES OR DAMAGES ARISING OUT OF OR RELATING TO YOUR RELIANCE UPON HEALTH, WELLNESS, NUTRITION, FITNESS, OR OTHER INFORMATION; QUIZ OR ASSESSMENT RESULTS; CALCULATORS OR INTERACTIVE FEATURES; ARTICLES; MAGAZINES; PUBLICATIONS; RECOMMENDATIONS; USER CONTENT; THIRD-PARTY CONTENT; ADVERTISEMENTS; THIRD-PARTY PRODUCTS; OR EXTERNAL WEBSITES.
THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTORY LIABILITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND REGARDLESS OF WHETHER A HEALTH PLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, A HEALTH PLACE SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM UNAUTHORIZED ACCESS TO, ALTERATION OF, OR DISCLOSURE, LOSS, CORRUPTION, OR DESTRUCTION OF INFORMATION, EXCEPT TO THE EXTENT SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
NOTHING IN THESE TERMS SHALL EXCLUDE, RESTRICT, OR LIMIT LIABILITY, OR ANY RIGHT OR REMEDY, THAT CANNOT LAWFULLY BE EXCLUDED, RESTRICTED, OR LIMITED UNDER APPLICABLE LAW.
22. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless A Health Place and the A Health Place Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees and litigation expenses, arising out of or relating to:
your breach or violation of these Terms;
your misuse of the website or Content;
your User Content;
your violation or alleged violation of another person's rights;
your violation or alleged violation of applicable law or regulation; or
your negligent, fraudulent, unlawful, or willful acts or omissions in connection with your use of the website or Content.
A Health Place reserves the right, at its own expense, to assume exclusive control and defense of any matter subject to indemnification, and you agree to cooperate reasonably with such defense.
You may not settle any claim subject to indemnification in a manner that imposes liability, admission of wrongdoing, or other obligation upon an indemnified party without that party's prior written consent.
This indemnification obligation does not apply to the extent prohibited by applicable law.
23. Account Suspension and Termination
Because publicly available A Health Place Content generally does not require an account, termination of access will ordinarily concern the website, particular features, or specific user access rather than an ongoing service relationship.
A Health Place may, to the maximum extent permitted by applicable law, suspend, restrict, disable, or terminate your access to all or any portion of the website or Content if:
you violate these Terms;
you engage in fraudulent, deceptive, unlawful, or abusive conduct;
your conduct creates a security or operational risk;
your conduct may harm another user, A Health Place, or a third party;
A Health Place is required to do so by law or legal process;
continued access could expose A Health Place to legal or regulatory risk; or
continued access is otherwise reasonably necessary to protect the website, Content, or users.
A Health Place may also discontinue any account-based feature, publication, digital edition, or portion of the website for legitimate business, editorial, technical, or operational reasons.
You may discontinue use of the website at any time.
Termination or suspension will not affect provisions that by their nature are intended to survive, including provisions concerning intellectual property, User Content, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other provisions that expressly or inherently survive termination.
24. Privacy
Your use of the website is also governed by the A Health Place Privacy Policy.
The Privacy Policy describes how A Health Place may collect, use, disclose, retain, and otherwise process personal information.
By accessing or using the website, you acknowledge that you have reviewed the Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
25. Health Information Disclaimer
Your access to and use of health-related Content is subject to the A Health Place Health Information Disclaimer.
The Health Information Disclaimer is incorporated into these Terms by reference.
The Health Information Disclaimer establishes additional terms concerning the informational nature of health-related Content, individualized guidance, interactive features, exercise, nutrition, supplements, products, third-party information, assumption of risk, warranties, liability, and related matters.
A Health Place does not provide professional healthcare or other professional services.
In the event of an emergency or other urgent situation, you should not rely upon the website, magazine, or other Content. Seek appropriate emergency assistance or immediate professional care.
26. Changes to the Website and Content
A Health Place reserves the right to add, remove, modify, suspend, restrict, or discontinue any publication, magazine edition, article, Content, feature, tool, functionality, or other portion of the website at any time.
A Health Place does not guarantee that any particular publication, magazine edition, Content category, feature, or digital resource will remain available indefinitely.
Where appropriate or required by applicable law, A Health Place may provide notice of material changes affecting users.
27. Changes to These Terms
A Health Place may revise these Terms from time to time.
When revisions are made, the updated Terms will be posted on the website, and the “Last Updated” date will be revised accordingly.
The revised Terms will become effective upon posting unless a later effective date is expressly stated.
Where required by applicable law, A Health Place will provide additional notice or obtain affirmative consent to material changes.
Your continued access to or use of the website or Content following the effective date of revised Terms constitutes your acceptance of the revised Terms to the extent permitted by applicable law.
If you do not agree to the revised Terms, you must discontinue access to and use of the website and Content.
28. Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the website or Content shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles, except to the extent federal law or other mandatory applicable law provides otherwise.
29. Venue and Jurisdiction
To the maximum extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms or the website or Content shall be brought exclusively in the state or federal courts located in or serving Sheridan County, Wyoming.
You consent to the personal jurisdiction and venue of such courts for purposes of resolving any dispute subject to this Section.
Nothing in this Section is intended to waive, restrict, or eliminate any mandatory right or protection that cannot lawfully be waived, restricted, or eliminated.
30. Informal Dispute Resolution
Before initiating formal legal proceedings concerning a dispute arising out of or relating to these Terms or the website or Content, you agree to provide A Health Place with written notice describing the nature of the dispute, the facts giving rise to it, and the relief requested.
The parties will have a reasonable opportunity to attempt to resolve the dispute informally.
Nothing in this Section prevents either party from seeking temporary, preliminary, or emergency equitable relief where necessary to prevent imminent harm, protect intellectual-property rights, preserve evidence, or otherwise protect rights that cannot reasonably be protected through ordinary dispute-resolution procedures.
31. Arbitration and Class-Action Waiver
Any mandatory arbitration provision, class-action waiver, jury-trial waiver, or other binding alternative dispute-resolution provision applicable to the website or Content shall be governed by an applicable A Health Place agreement expressly establishing such obligations.
Nothing in these Terms independently requires arbitration unless a valid and enforceable agreement expressly provides for arbitration.
Any arbitration or waiver provision shall apply only to the maximum extent permitted by applicable law.
32. Severability
If any provision of these Terms is determined by a court or other authority of competent jurisdiction to be unlawful, invalid, void, or unenforceable, that provision shall be modified or limited to the minimum extent necessary to make it enforceable, where permitted by applicable law.
If modification is not legally permissible, the affected provision shall be severed to the extent necessary, and the remaining provisions shall continue in full force and effect.
The invalidity or unenforceability of one provision shall not affect the validity or enforceability of any other provision.
33. No Waiver
A Health Place's failure or delay in enforcing any provision of these Terms shall not constitute a waiver of that provision or of A Health Place's right to enforce it at a later time.
Any waiver must be expressly made in writing by an authorized representative of A Health Place.
34. Entire Agreement
These Terms, together with the A Health Place Privacy Policy, Health Information Disclaimer, and any other policies, notices, or additional terms expressly incorporated by reference, constitute the entire agreement between you and A Health Place concerning your access to and use of the website and Content, except to the extent additional terms expressly govern a particular publication, purchase, feature, or other matter.
These Terms supersede prior or contemporaneous representations, understandings, or agreements concerning the same subject matter, except where expressly preserved by applicable written agreement.
35. No Assignment by User
You may not assign, transfer, delegate, or otherwise convey your rights or obligations under these Terms without A Health Place's prior written consent.
Any attempted assignment or transfer in violation of this Section is void to the extent permitted by applicable law.
A Health Place may assign or transfer these Terms, in whole or in part, without your consent in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, change of control, or other business transaction.
36. Force Majeure
A Health Place shall not be liable for any delay, interruption, failure, or inability to perform resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, war, terrorism, civil unrest, labor disputes, telecommunications failures, Internet disruptions, infrastructure failures, cybersecurity incidents, utility failures, epidemics, pandemics, or failures of third-party infrastructure.
This Section does not excuse obligations that applicable law does not permit to be excused.
37. Notices
Where A Health Place is required to provide notice to users, notice may be provided through the website, by email where an applicable email address has been provided, by posting an updated notice or policy, or through another reasonable method permitted by applicable law.
You agree that electronic communications may satisfy legal notice requirements to the extent permitted by applicable law.
